Restoration Form
During our 20 years within the company restoration and incorporation sector, we have assisted our clients with hundreds of restorations worldwide. We have built strong partnerships with agents to provide an efficient and simple service, which has lead us to restore companies in over 20 countries.
A company can be struck-off the register for many reasons, the most common of which is missing payments of annual government fees or non-filing of corporate documents such as annual returns. When a company is struck-off the register, it can no longer legally trade and its assets are frozen by the registry and bank. Once the assets are frozen, they cannot be accessed by the company’s directors or shareholders.
If a director or shareholder wishes to regain access to any assets such as property held in the company’s name, they must apply for a company restoration with the correct authorities.
Through our restoration services, we assist with every step of the reinstatement process to achieve a successful outcome. The process and requirements for company restoration differ from country to country.
Bahamas Company Restorations
We can assist with Administrative or Court Order Restorations in the Bahamas. The service required will be dependent on the circumstances surrounding strike off and time passed since the company was struck-off. We can assist with every step of the restoration process.
Bahamas Administrative Restoration
A Bahamas IBC can be restored to the Register through administrative restoration, presuming it was struck off less than 5 years ago. Administrative restoration requires the submission of an application form by the registered agent to the Bahamas Corporate Register along with the payment of all penalty payments, restoration fees and outstanding government fees-
Bahamas Court Restoration
If a Bahamas company has been struck-off the register for a period exceeding 5 years, it must submit an application to the Bahamas’ company court to proceed with restoring the company. Court Restoration has the same requirements as an administrative restoration but with the additional court, restoration and notary fees.

Belize Company Restorations
We provide assistance with the restoration of Belize IBCs, either through administrative restoration or a court order restoration. The restoration process depends on the circumstances of strike off and time passed since company dissolution.
Belize Administrative Restoration
Belize has recently amended its IBC Companies Act to permit company restoration via application to the International Business Companies Registry, presuming the company was struck-off the register less than 5 years ago. In order to achieve a successful company restoration, certain fees and qualifications must be met:
- Payment of overdue government license fees
- Payment of all unpaid agent fees
- Payment of the government restoration fee
- Updates of corporate filings
Belize Court Order Restoration
If an IBC was struck-off over 5 years ago we must apply for a Court Order Restoration which is similar to an Administrative Restoration but with court fees and increased restoration fees.
After Completion of Belize Company Restoration
Following the completion of a company restoration, the company will be restored to the register and the assets held under the company’s name before strike-off will be returned. The company will also return to Good Standing as if it was never struck-off.

British Virgin Islands Company Restorations
We offer both Administrative Restoration (less than 6 years since strike off) and Court Order Restoration (over 6 years since strike off) services in the BVI.
BVI Administrative Restoration
A company struck-off the BVI Register less than 6 years ago can be restored through an Administrative Restoration. Administrative Restoration requires that all outstanding government fees, penalty payments and restoration fees be paid, along with a completed application to the Register of Corporate Affairs.
BVI Court Restoration
If the company was struck-off over 6 years ago, it is defined as a dissolved company but can still be restored to the register via BVI court restoration. Court restoration requires all overdue fees to be paid in full and an application made not only to the Register of Corporate Affairs, but also to the BVI Company Court. Companies struck-off over ten years ago cannot be restored.
Transfer of Registered Agent
In order to have a BVI company restored under our services, we need to be appointed as the registered agent. BVI law requires that the registered agent submit all outstanding documents on the company’s behalf. We can organise the transfer of the registered agent.
After Completion of BVI Company Restoration
Once a company has been successfully restored to the Register, the company will regain all property and assets vested in the Crown during its struck-off period. Once the company is reinstated to the register, the same directors and shareholders will be re-appointed as those listed at the time of strike off.
BVI Company Restoration Timescale

Gibraltar Company Restorations
We can assist with company restoration for companies struck off the register less than 10 years ago (Administrative Restoration) and companies struck off more than 10 years ago (Court Restoration).
Gibraltar Administrative Restoration
To restore a Gibraltar company which was struck-off the register less than 10 years ago, an administrative restoration must be performed. The requirements for an administrative restoration are; payment of overdue government fees, payment of late filing penalties, the filing of annual returns, payment of restoration fees and completed application to Companies House Gibraltar.
After the application has been accepted, Companies House Gibraltar will publish a notice of restoration after which the company must file all overdue annual returns within 90 days. Once the Annual Returns are filed the company shall be reinstated to the register and all assets frozen in the company will be restored. We assist with all steps to complete a successful restoration.
Gibraltar Court Restoration
If the company has been dissolved (struck-off the register over 10 years ago) then it can only be reinstated through Court Restoration. Court restoration can be applied for by any member or creditor who feels aggrieved at the company’s strike off. The procedure for Court restoration follows the same criteria as administrative restoration apart from it requires the application to be made with the Gibraltar company court and requires additional fees. The administrator accessing the application may demand additional documentation to support the restoration claim.
After Completion of Gibraltar Company Restoration
Once the company has been successfully reinstated all assets which were previously frozen by Companies House will be restored to the company. The company is returned to Good Standing as if it was never struck-off the register.
Gibraltar Company Restoration Timescale
The time-frame to restore a Gibraltar company to the register differs depending on the circumstances of strike-off. Although in our experience it takes around 3 weeks.
Hong Kong Company Restorations
We can assist with the reinstatement of a Hong Kong limited company via Administrative Restoration.
The Hong Kong government recently updated its company ordinance, where it defines the circumstances in which a company can be restored through administrative restoration. The criteria to qualify for administrative restoration are as follows: the company must have been carrying out business when it was struck-off, and the company still owned property at the time of strike off.
If the company fits the criteria outlined by the ordinance, it can apply for Administrative Restoration through the Hong Kong Companies Registry, rather than having to apply to the Hong Kong Companies Court. Along with the application, the company must pay all late filing penalties, government license fees and application fees. If the company does not fit the criteria or the registrar denies its application, the company must apply for Court Restoration.
After the Registrar has accepted the application, all filings must be brought up to date. Once completed, the company will be reinstated to the register and a notice will be published in the Hong Kong Government Gazette. We can assist with every step of the restoration process in order for a successful restoration.
After Completion of Hong Kong Company Restoration
Once the restoration has been successful and all filings are up to date, the company will have access to its assets which were stored within the registry as Bona Vacantia. The company will also return to good standing, as if it was never struck-off the register.

Ireland Company Restorations
Our head office is based in Ireland and we have over 20 years experience within the company restoration and formation space within Ireland. Through our experience, we have refined the company restoration process to be as efficient as possible.
Ireland Administrative Restoration
When a company has been struck-off the Irish register for less than 12 months, an administrative restoration can be completed. Administrative company restoration requires the submission of an application to the Irish Registrar of Companies along with all outstanding corporate documents and late filing fees.
The administrative restoration process is usually completed in one week although we offer an express service if the restoration is required urgently.
Ireland Court Restoration
If your Irish company has been struck-off the register for over 12 months, then the only option for restoration is through a High Court Order. To start the court order restoration process we visit the high court with our solicitor accompanied by a Barrister to present the affidavit and petition for the companies reinstatement.
A court order restoration will not have effect unless all outstanding annual returns are delivered to the Companies Registration Office within one month from the date of order. If this is not complied with then the company will remain dissolved. The annual returns and accounts must be signed and certified where necessary in accordance with the requirements of the Irish Companies Acts.
Once the judge has decreed that the company shall be restored then the registrar issues a letter stating that they have no objection to the company being restored. A letter of no objection is also required from the Revenue Commission.
After Completion of Ireland Company Restoration
Once the company restoration process is completed the company returns to good standing and any assets held by the Irish Registry will be returned to the company’s name.
Ireland Company Restoration Timescale
Administrative Company Restoration typically takes 1 week for completion and High Court Restoration between 3 – 6 months. The timescales may differ depending on the circumstances surrounding the company’s strike off.
Panama Company Restorations
We can assist with the restoration and reactivation of a Panama IBC. A Panama company can be restored to the register by the Registro Público de Panamá presuming the company was not struck-off the register over 5 years ago. In order for a successful restoration, an application must be submitted to the Companies Registry along with; all overdue filing fees, the restoration fee, agent fees, overdue government fees and any overdue corporate filings. We provide assistance with the drafting of application and collecting of necessary documents.
Transfer of Registered Agent
In order for us to carry out as company restoration in Panama, we must be appointed as the registered agent of the company. We can assist with the transfer of the registered agent.
After Completion of Panama Company Restoration
Once the company has been successfully restored to the Register any assets or property held by the Panama government is returned to the company and accessible for directors of the company.
Panama Company Restoration Timescale

Seychelles Company Restorations
A Seychelles IBC can be reinstated to the Register if it was struck-off less than 5 years ago through submission and authorisation of a company restoration application.
The application must be submitted to the Seychelles Company Registry along with; overdue government license fees, overdue filing fees, the filing of up to date annual returns and corporate filings, unpaid agent fees and the restoration fee. We assist with the gathering and drafting of all necessary documents for a successful restoration.
Transfer of Registered Agent
In order to complete the restoration, we must be appointed as the registered agent. This is due to the fact that the registered agent of the company must submit the overdue fees and application on behalf of the company.
After Completion of Seychelles Company Restoration
Once the company has been successfully reinstated by the Seychelles Company Registry all assets and property will be returned to the company’s name. The company will be restored in good standing to the Seychelles Register as if it had never been struck-off.
Seychelles Company Restoration Timescale

UK Company Restorations
Our UK office can assist with both Administrative Restorations and Court Restorations. The restoration required will depend on the circumstances and time passed since strike off.
UK Administrative Restoration
To qualify for an administrative restoration certain criteria must be met, these are; the company was struck-off less than 6 years ago, it was trading at the time it was dissolved and the director or shareholder is applying for restoration.
If all the qualifications are met then an application for administrative restoration can be made to Companies House along with; overdue filing fees, penalty payments, restoration fee, a waiver letter from Bona Vacantia for the return of assets and outstanding company documents such as accounts or annual returns.
UK Court Restoration
If the company was struck-off the register more than 6 years ago or does not meet the qualification of Administrative Restoration it must apply for a Court Restoration. A company or any individual who is aggrieved by the striking of the company can apply for Court restoration up to 20 years after the company is dissolved. An application must be made to the court along with; restoration fee, court fee and a witness statement. After Completion of UK Company Restoration
Once the company is restored to the Register any assets or property held by the Crown will be returned to the company’s name. If the company wishes to return to trading then all corporate documents must be updated to return the company to good standing.
UK Company Restoration Timescale
Administrative Restoration typically takes 4 weeks and a Court Restoration takes 12 weeks to restore to the Companies Register.
USA Company Restorations
We assist with the restoration of a LLC’s no matter the period passed since strike off. To restore a LLC, a Revival of Company application must be submitted to the Division of Corporations. For the application to be successful certain criteria must be met these are; payment of all overdue taxes according to the State Franchise Tax Section, payment of late filing penalties, payment of restoration fee and updating of corporate filings.
After Completion of USA Company Restoration
After the company is reinstated by the Division of Corporate Affairs it can commence trading again and all assets held by the State will be reinstated in the company’s name.
LLC Company Restoration Timescale
It takes approximately 2-3 weeks to restore an LLC to the register. Expedited services are available at an additional fee for a faster restoration.
